Service Provider<\/h2><p dir=\"auto\" data-start=\"1060\" data-end=\"1132\"><strong data-start=\"1060\" data-end=\"1077\">Finnsider | Ida Karikoski<\/strong><br data-start=\"1077\" data-end=\"1080\" \/>Business ID: 3560392-8<br data-start=\"1102\" data-end=\"1105\" \/>Email: <a class=\"decorated-link cursor-pointer\" rel=\"noopener\" data-start=\"1112\" data-end=\"1132\">info@idakarikoski.fi<\/a><\/p><p dir=\"auto\" data-start=\"1134\" data-end=\"1184\">Finnsider is a business operated by Ida Karikoski.<\/p><h2 dir=\"auto\" data-section-id=\"1hswd10\" data-start=\"1186\" data-end=\"1209\">2. Scope of Services<\/h2><p dir=\"auto\" data-start=\"1211\" data-end=\"1380\">Finnsider provides research, analysis, strategic perspectives and recommendations intended to help international businesses understand and prepare for the Nordic market.<\/p><p dir=\"auto\" data-start=\"1382\" data-end=\"1434\">Services may include, depending on the agreed scope:<\/p><ul data-start=\"1436\" data-end=\"1830\"><li data-section-id=\"805f3n\" data-start=\"1436\" data-end=\"1468\">brand and positioning analysis<\/li><li data-section-id=\"100jpik\" data-start=\"1469\" data-end=\"1499\">website and messaging review<\/li><li data-section-id=\"1147oag\" data-start=\"1500\" data-end=\"1545\">analysis from a Nordic customer perspective<\/li><li data-section-id=\"1np5guo\" data-start=\"1546\" data-end=\"1588\">cultural and market-related observations<\/li><li data-section-id=\"jao9og\" data-start=\"1589\" data-end=\"1689\">recommendations concerning communication, positioning, customer experience and visual presentation<\/li><li data-section-id=\"1p4xvoi\" data-start=\"1690\" data-end=\"1719\">prioritised recommendations<\/li><li data-section-id=\"1131u9c\" data-start=\"1720\" data-end=\"1777\">a Nordic Brand Roadmap or similar strategic deliverable<\/li><li data-section-id=\"880q4o\" data-start=\"1778\" data-end=\"1830\">other services specifically agreed with the client<\/li><\/ul><p dir=\"auto\" data-start=\"1832\" data-end=\"1955\">The exact scope, deliverables, price and timeline of each project will be agreed with the client before the project begins.<\/p><h2 dir=\"auto\" data-section-id=\"12zmzgs\" data-start=\"1957\" data-end=\"1984\">3. Nature of the Service<\/h2><p dir=\"auto\" data-start=\"1986\" data-end=\"2156\">Finnsider provides <strong data-start=\"2005\" data-end=\"2064\">professional analysis, perspectives and recommendations<\/strong> based on the information, materials and circumstances available at the time of the project.<\/p><p dir=\"auto\" data-start=\"2158\" data-end=\"2228\">The services are intended to support the client's own decision-making.<\/p><p dir=\"auto\" data-start=\"2230\" data-end=\"2288\">Finnsider does not make decisions on behalf of the client.<\/p><p dir=\"auto\" data-start=\"2290\" data-end=\"2437\">All recommendations provided by Finnsider are recommendations only. The client is responsible for deciding whether, when and how to implement them.<\/p><h2 dir=\"auto\" data-section-id=\"sw9lg7\" data-start=\"2439\" data-end=\"2468\">4. No Guarantee of Results<\/h2><p dir=\"auto\" data-start=\"2470\" data-end=\"2611\"><strong data-start=\"2470\" data-end=\"2611\">Finnsider does not guarantee any particular business, financial, commercial, marketing, sales or other result from the services provided.<\/strong><\/p><p dir=\"auto\" data-start=\"2613\" data-end=\"2727\">The Nordic market, customers and business environments are influenced by many factors outside Finnsider's control.<\/p><p dir=\"auto\" data-start=\"2729\" data-end=\"2810\">The outcome of implementing any recommendation may depend on, among other things:<\/p><ul data-start=\"2812\" data-end=\"3129\"><li data-section-id=\"1xjrjc9\" data-start=\"2812\" data-end=\"2848\">the client's business and offering<\/li><li data-section-id=\"p9epk4\" data-start=\"2849\" data-end=\"2893\">the client's existing brand and reputation<\/li><li data-section-id=\"1czr564\" data-start=\"2894\" data-end=\"2913\">market conditions<\/li><li data-section-id=\"1026iu5\" data-start=\"2914\" data-end=\"2927\">competition<\/li><li data-section-id=\"iyzcww\" data-start=\"2928\" data-end=\"2937\">pricing<\/li><li data-section-id=\"18pt1d7\" data-start=\"2938\" data-end=\"2955\">customer demand<\/li><li data-section-id=\"1l5pf6g\" data-start=\"2956\" data-end=\"2964\">timing<\/li><li data-section-id=\"wg8g9w\" data-start=\"2965\" data-end=\"3017\">the client's implementation of the recommendations<\/li><li data-section-id=\"su7fib\" data-start=\"3018\" data-end=\"3082\">the quality and accuracy of information provided by the client<\/li><li data-section-id=\"zh2ypp\" data-start=\"3083\" data-end=\"3129\">actions taken by the client or third parties<\/li><\/ul><p dir=\"auto\" data-start=\"3131\" data-end=\"3379\">Finnsider therefore makes no promise or guarantee that the client's business will achieve increased sales, customers, market share, brand recognition, profitability, successful market entry or any other specific outcome as a result of the services.<\/p><p dir=\"auto\" data-start=\"3381\" data-end=\"3556\"><strong data-start=\"3381\" data-end=\"3556\">Any examples, observations, projections, recommendations or potential outcomes presented by Finnsider should not be understood as guarantees or promises of future results.<\/strong><\/p><h2 dir=\"auto\" data-section-id=\"nfm59m\" data-start=\"3558\" data-end=\"3622\">5. No Financial, Legal or Other Regulated Professional Advice<\/h2><p dir=\"auto\" data-start=\"3624\" data-end=\"3726\">Finnsider's services are intended as strategic and informational support for business decision-making.<\/p><p dir=\"auto\" data-start=\"3728\" data-end=\"3856\">Finnsider does <strong data-start=\"3743\" data-end=\"3855\">not provide legal, accounting, tax, investment, financial, regulatory or other regulated professional advice<\/strong>.<\/p><p dir=\"auto\" data-start=\"3858\" data-end=\"4020\">Any information concerning these areas is provided only as general information or as a recommendation to seek advice from an appropriately qualified professional.<\/p><p dir=\"auto\" data-start=\"4022\" data-end=\"4207\">The client is responsible for obtaining independent professional advice where required before making decisions concerning legal, financial, tax, regulatory, investment or other matters.<\/p><h2 dir=\"auto\" data-section-id=\"12gmap4\" data-start=\"4209\" data-end=\"4236\">6. Client Responsibility<\/h2><p dir=\"auto\" data-start=\"4238\" data-end=\"4312\">The client remains responsible for its own business decisions and actions.<\/p><p dir=\"auto\" data-start=\"4314\" data-end=\"4484\">The client is responsible for evaluating the suitability of Finnsider's recommendations for its specific circumstances and for deciding whether and how to implement them.<\/p><p dir=\"auto\" data-start=\"4486\" data-end=\"4674\">The client is also responsible for ensuring that any changes made to its business, website, marketing, pricing, contracts, products or services comply with applicable laws and regulations.<\/p><p dir=\"auto\" data-start=\"4676\" data-end=\"4769\">Finnsider is not responsible for decisions made by the client based on the services provided.<\/p><h2 dir=\"auto\" data-section-id=\"1s42el8\" data-start=\"4771\" data-end=\"4811\">7. Information Provided by the Client<\/h2><p dir=\"auto\" data-start=\"4813\" data-end=\"4909\">Finnsider relies on information and materials provided by the client when carrying out the work.<\/p><p dir=\"auto\" data-start=\"4911\" data-end=\"5039\">The client is responsible for ensuring that information provided to Finnsider is sufficiently accurate, complete and up to date.<\/p><p dir=\"auto\" data-start=\"5041\" data-end=\"5170\">Finnsider is not responsible for consequences arising from inaccurate, incomplete or outdated information supplied by the client.<\/p><h2 dir=\"auto\" data-section-id=\"cy3nve\" data-start=\"5172\" data-end=\"5213\">8. Third-Party Information and Sources<\/h2><p dir=\"auto\" data-start=\"5215\" data-end=\"5353\">Finnsider may use publicly available information, research, industry sources and other third-party information when carrying out its work.<\/p><p dir=\"auto\" data-start=\"5355\" data-end=\"5538\">While reasonable care is taken in selecting and interpreting information, Finnsider does not guarantee that third-party information is complete, accurate, current or free from errors.<\/p><p dir=\"auto\" data-start=\"5540\" data-end=\"5652\">Where appropriate, clients should independently verify information that is material to their business decisions.<\/p><h2 dir=\"auto\" data-section-id=\"ucdboe\" data-start=\"5654\" data-end=\"5698\">9. Deliverables and Intellectual Property<\/h2><p dir=\"auto\" data-start=\"5700\" data-end=\"5857\">Unless otherwise agreed in writing, the client receives the right to use the final deliverables provided specifically for the client's own business purposes.<\/p><p dir=\"auto\" data-start=\"5859\" data-end=\"5970\">The client may use the final deliverables internally and may implement the recommendations in its own business.<\/p><p dir=\"auto\" data-start=\"5972\" data-end=\"6173\">Unless otherwise agreed, the client may not resell, redistribute, reproduce or commercially exploit Finnsider's original frameworks, templates, methodologies or other materials as a standalone product.<\/p><p dir=\"auto\" data-start=\"6175\" data-end=\"6284\">Finnsider retains ownership of its pre-existing methodologies, frameworks, processes, templates and know-how.<\/p><p dir=\"auto\" data-start=\"6286\" data-end=\"6398\">Where third-party materials are used, their respective terms and intellectual property rights continue to apply.<\/p><h2 dir=\"auto\" data-section-id=\"u88nvg\" data-start=\"6400\" data-end=\"6422\">10. Confidentiality<\/h2><p dir=\"auto\" data-start=\"6424\" data-end=\"6601\">Finnsider will treat non-public business information received from the client as confidential and will not intentionally disclose such information to third parties except where:<\/p><ul data-start=\"6603\" data-end=\"6758\"><li data-section-id=\"y65sfx\" data-start=\"6603\" data-end=\"6659\">disclosure is necessary to provide the agreed service;<\/li><li data-section-id=\"1rpko8j\" data-start=\"6660\" data-end=\"6695\">disclosure is required by law; or<\/li><li data-section-id=\"1nixs4i\" data-start=\"6696\" data-end=\"6758\">the client has given permission to disclose the information.<\/li><\/ul><p dir=\"auto\" data-start=\"6760\" data-end=\"6888\">The client is responsible for identifying any particularly sensitive or restricted information before providing it to Finnsider.<\/p><h2 dir=\"auto\" data-section-id=\"1kmotgj\" data-start=\"6890\" data-end=\"6917\">11. Additional Expertise<\/h2><p dir=\"auto\" data-start=\"6919\" data-end=\"7038\">Finnsider may, where relevant, involve selected external specialists or subcontractors to provide additional expertise.<\/p><p dir=\"auto\" data-start=\"7040\" data-end=\"7171\">Any such involvement will be managed by Finnsider and will form part of the agreed service unless otherwise agreed with the client.<\/p><p dir=\"auto\" data-start=\"7173\" data-end=\"7318\">Where personal data is processed by third parties on behalf of the client or Finnsider, applicable data protection requirements will be followed.<\/p><h2 dir=\"auto\" data-section-id=\"130srjg\" data-start=\"7320\" data-end=\"7343\">12. Fees and Payment<\/h2><p dir=\"auto\" data-start=\"7345\" data-end=\"7428\">The price and payment terms for each project will be agreed before the work begins.<\/p><p dir=\"auto\" data-start=\"7430\" data-end=\"7524\">Unless otherwise agreed, invoices are payable within the payment period stated on the invoice.<\/p><p dir=\"auto\" data-start=\"7526\" data-end=\"7601\">Finnsider may suspend work if an invoice remains unpaid after its due date.<\/p><p dir=\"auto\" data-start=\"7603\" data-end=\"7724\">Any additional work outside the agreed scope must be agreed separately with the client and may result in additional fees.<\/p><h2 dir=\"auto\" data-section-id=\"zl7z04\" data-start=\"7726\" data-end=\"7753\">13. Changes to the Scope<\/h2><p dir=\"auto\" data-start=\"7755\" data-end=\"7811\">The agreed project scope forms the basis of the service.<\/p><p dir=\"auto\" data-start=\"7813\" data-end=\"7933\">If the client requests substantial changes or additional work, Finnsider may propose a revised scope, timeline or price.<\/p><p dir=\"auto\" data-start=\"7935\" data-end=\"8023\">No substantial additional work is required to be provided without the client's approval.<\/p><h2 dir=\"auto\" data-section-id=\"fknel\" data-start=\"8025\" data-end=\"8046\">14. Project Delays<\/h2><p dir=\"auto\" data-start=\"8048\" data-end=\"8136\">Finnsider will make reasonable efforts to complete the work within the agreed timeframe.<\/p><p dir=\"auto\" data-start=\"8138\" data-end=\"8272\">Deadlines may be affected by delays caused by the client, including delays in providing information, materials, feedback or approvals.<\/p><p dir=\"auto\" data-start=\"8274\" data-end=\"8368\">Finnsider is not responsible for delays caused by circumstances beyond its reasonable control.<\/p><h2 dir=\"auto\" data-section-id=\"agsumf\" data-start=\"8370\" data-end=\"8405\">15. Cancellation and Termination<\/h2><p dir=\"auto\" data-start=\"8407\" data-end=\"8505\">The cancellation and termination terms for a specific project may be agreed separately in writing.<\/p><p dir=\"auto\" data-start=\"8507\" data-end=\"8681\">If no separate cancellation terms have been agreed, either party may terminate an ongoing project where there is a material reason preventing the continuation of the project.<\/p><p dir=\"auto\" data-start=\"8683\" data-end=\"8803\">The client remains responsible for payment for work already completed and approved expenses incurred before termination.<\/p><h2 dir=\"auto\" data-section-id=\"1r6bvu\" data-start=\"8805\" data-end=\"8835\">16. Limitation of Liability<\/h2><p dir=\"auto\" data-start=\"8837\" data-end=\"9023\">To the maximum extent permitted by applicable law, Finnsider shall not be liable for indirect, incidental, consequential or unforeseeable losses arising from or relating to the services.<\/p><p dir=\"auto\" data-start=\"9025\" data-end=\"9062\">This may include, without limitation:<\/p><ul data-start=\"9064\" data-end=\"9307\"><li data-section-id=\"p4vcuw\" data-start=\"9064\" data-end=\"9081\">loss of revenue<\/li><li data-section-id=\"1s7dhif\" data-start=\"9082\" data-end=\"9099\">loss of profits<\/li><li data-section-id=\"11f27qt\" data-start=\"9100\" data-end=\"9119\">loss of customers<\/li><li data-section-id=\"1k7y4ij\" data-start=\"9120\" data-end=\"9152\">loss of business opportunities<\/li><li data-section-id=\"kt166h\" data-start=\"9153\" data-end=\"9182\">loss of anticipated savings<\/li><li data-section-id=\"1heo05x\" data-start=\"9183\" data-end=\"9204\">reputational damage<\/li><li data-section-id=\"mo3p41\" data-start=\"9205\" data-end=\"9228\">business interruption<\/li><li data-section-id=\"y85ak3\" data-start=\"9229\" data-end=\"9307\">decisions made by the client based on recommendations provided by Finnsider.<\/li><\/ul><p dir=\"auto\" data-start=\"9309\" data-end=\"9512\">To the maximum extent permitted by applicable law, Finnsider's total liability arising from a specific project shall not exceed the total amount actually paid by the client to Finnsider for that project.<\/p><p dir=\"auto\" data-start=\"9514\" data-end=\"9656\">Nothing in these Terms &amp; Conditions excludes or limits liability to the extent that such limitation is prohibited by mandatory applicable law.<\/p><h2 dir=\"auto\" data-section-id=\"1dpma0e\" data-start=\"9658\" data-end=\"9698\">17. No Warranty of Commercial Success<\/h2><p dir=\"auto\" data-start=\"9700\" data-end=\"9829\">The client acknowledges that market entry, marketing, branding and business development involve commercial risks and uncertainty.<\/p><p dir=\"auto\" data-start=\"9831\" data-end=\"9863\">Finnsider does not warrant that:<\/p><ul data-start=\"9865\" data-end=\"10247\"><li data-section-id=\"1mvuuqd\" data-start=\"9865\" data-end=\"9923\">the client's brand will be accepted by Nordic customers;<\/li><li data-section-id=\"ttday0\" data-start=\"9924\" data-end=\"9984\">the client's products or services will meet market demand;<\/li><li data-section-id=\"xodfxq\" data-start=\"9985\" data-end=\"10027\">the client will gain customers or sales;<\/li><li data-section-id=\"1nno9xr\" data-start=\"10028\" data-end=\"10123\">the client's website or communication will perform better after implementing recommendations;<\/li><li data-section-id=\"16au45c\" data-start=\"10124\" data-end=\"10199\">the client will successfully enter or expand within any Nordic market; or<\/li><li data-section-id=\"1yqcyv\" data-start=\"10200\" data-end=\"10247\">any particular commercial outcome will occur.<\/li><\/ul><p dir=\"auto\" data-start=\"10249\" data-end=\"10398\">Finnsider's role is to provide informed perspectives and practical recommendations, not to guarantee the outcome of the client's business activities.<\/p><h2 dir=\"auto\" data-section-id=\"ve1gzp\" data-start=\"10400\" data-end=\"10431\">18. No Agency or Partnership<\/h2><p dir=\"auto\" data-start=\"10433\" data-end=\"10658\">The provision of Finnsider's services does not create a partnership, joint venture, employment relationship, agency relationship or other legal relationship between Finnsider and the client unless expressly agreed in writing.<\/p><p dir=\"auto\" data-start=\"10660\" data-end=\"10755\">Finnsider has no authority to enter into contracts or make commitments on behalf of the client.<\/p><h2 dir=\"auto\" data-section-id=\"1y6lov3\" data-start=\"10757\" data-end=\"10777\">19. Force Majeure<\/h2><p dir=\"auto\" data-start=\"10779\" data-end=\"10944\">Finnsider shall not be liable for failure or delay in performing its obligations where the failure or delay results from circumstances beyond its reasonable control.<\/p><p dir=\"auto\" data-start=\"10946\" data-end=\"11198\">Such circumstances may include, for example, serious technical failures, interruptions to essential services, natural disasters, governmental actions, widespread cyber incidents or other events that could not reasonably have been prevented or overcome.<\/p><h2 dir=\"auto\" data-section-id=\"p1616d\" data-start=\"11200\" data-end=\"11229\">20. Changes to These Terms<\/h2><p dir=\"auto\" data-start=\"11231\" data-end=\"11295\">Finnsider may update these Terms &amp; Conditions from time to time.<\/p><p dir=\"auto\" data-start=\"11297\" data-end=\"11448\">The version applicable to a project is the version agreed upon when the relevant service agreement is entered into, unless otherwise agreed in writing.<\/p><h2 dir=\"auto\" data-section-id=\"zchvn9\" data-start=\"11450\" data-end=\"11470\">21. Governing Law<\/h2><p dir=\"auto\" data-start=\"11472\" data-end=\"11583\">These Terms &amp; Conditions are governed by the laws of Finland, without regard to its conflict of law provisions.<\/p><p dir=\"auto\" data-start=\"11585\" data-end=\"11715\">Any dispute arising from or relating to the services shall first be addressed through good-faith negotiations between the parties.<\/p><p dir=\"auto\" data-start=\"11717\" data-end=\"11845\">If the parties cannot resolve the dispute through negotiation, the dispute shall be resolved by the competent courts of Finland.<\/p><p dir=\"auto\" data-start=\"11847\" data-end=\"11980\">Nothing in these Terms &amp; Conditions limits any rights or obligations that cannot legally be excluded or limited under applicable law.<\/p><h2 dir=\"auto\" data-section-id=\"1ibgk5n\" data-start=\"11982\" data-end=\"11996\">22.
